Payment terms will be specified in individual service agreements. Unless otherwise stated, all fees are due within 30 days of invoice date. Late payments may incur interest charges as permitted by law.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.
Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
To the maximum extent permitted by law, Yisheng Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
You agree to indemnify and hold harmless Yisheng Tech from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.
These terms remain in effect while you use our services or until terminated by either party.
Either party may terminate the service relationship with written notice as specified in the service agreement. We reserve the right to suspend or terminate services immediately for violation of these terms.
We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the modified terms.
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Chengdu, Sichuan Province.
In the event of any dispute arising from these terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If negotiations fail, disputes may be resolved through arbitration or litigation as appropriate.
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms of Service, together with any service agreements or statements of work, constitute the entire agreement between you and Yisheng Tech regarding the use of our services.
